Last Updated: July 25, 2025These terms are written to be clear and human—while still protecting everyone involved. When you work with Stoneroller Cooperative (Libby Clarke Design LLC), you agree to the following terms. Please read them carefully.
1. Overview
These Terms of Service (“Terms”) are a legal agreement between you and Libby Clarke Design LLC, doing business as Stoneroller Cooperative (“we,” “our,” or “us”). They apply to your use of our website (www.stonerollercoop.com) and all services we provide.By using our site or working with us, you confirm that:

You understand that accessing this site or entering a service agreement from outside the U.S. is at your own risk
2. How We Work
We offer two core ways to collaborate:-
Creative Partnerships (Subscription-Based)
Ongoing design support at a flat monthly or quarterly rate. Ideal for teams with evolving needs and multiple projects.

Project-Based Services
One-time design packages with fixed pricing, defined scope, and a clear delivery timeline.
3. Your Responsibilities
To work with us, you agree to:-
Provide accurate and timely information
- Keep your systems and internet secure

Ensure that anyone on your team using our services also follows these Terms
4. Our General Policies

We reserve the right to refuse service to anyone, for any reason.

Payments are processed securely via our invoicing platform or ACH.

You may not reproduce, resell, or exploit our services or materials without written consent.
5. What’s Not Allowed
Use of our site or services for illegal, harmful, or disruptive activity is strictly prohibited. This includes, but isn’t limited to:-
Harassment, impersonation, or spamming

Violating any laws or rights

Exploiting minors

Attacking or attempting to disrupt the website or service
6. Intellectual Property
All content on our site and within our work (including graphics, templates, copy, and layouts) belongs to Stoneroller Cooperative or our licensors. You may not use or republish our materials without permission.Final design deliverables are yours to use once full payment is received. Working/source files (like .AI, .INDD, or .PSD) are not included unless explicitly agreed upon in writing.
7. Showcasing Work
Unless otherwise agreed in writing, we reserve the right to display completed client work in our portfolio, on our website, or in promotional materials.If this is a concern, just let us know in advance.
8. Fonts & Licenses
If a project requires font licensing, the client is responsible for purchasing those licenses unless we agree otherwise in writing.9. Feedback & Comments
All feedback or testimonials you provide may be used in our marketing unless you request otherwise. You are responsible for any content you submit through our site or forms.10. Refund Policy
All payments are non-refundable unless we agree otherwise in writing.In the rare case that we do issue a refund:

A 25% processing fee will be deducted

Any work completed remains the intellectual property of Stoneroller Cooperative

The client may not use or reproduce incomplete or refunded work; doing so may result in legal action
11. Scope & Revisions
Creative Partnerships (Subscription Clients):-
Work is handled one task at a time via your Trello portal
- Most requests are turned around in 2–3 business days
- One major task is completed per business day when the subscription is active
- Each deliverable includes up to two rounds of revisions

Rush jobs are subject to a $499 fee per item and must be agreed upon in advance

We require 24 hours’ notice for new tasks or updates
- Scope, timeline, and deliverables are defined in a proposal before work begins

Most projects include 1–2 rounds of revision per stage (as outlined in the proposal)

Changes outside the approved scope may result in added costs or timeline extensions
12. File Delivery & Ownership
Final files are delivered via shared folder or client portal in standard formats (PDF, PNG, SVG, JPG, MP4, etc.).Clients receive full rights to final deliverables upon receipt of full payment. Stoneroller Cooperative retains ownership of working/source files unless negotiated separately.
13. Timelines & Delays
We’ll stay on schedule—and we expect you to do the same. If client feedback or approvals are delayed by more than 7 business days, we may pause the project or reschedule delivery.14. Communication Channels
We work asynchronously. Communication is handled via Trello and email.We do not use Slack, WhatsApp, or other live messaging platforms unless specifically agreed. Project-based clients may request one kickoff call at the start of the project.
15. Payment Terms
Subscription Plans:-
Billed monthly or quarterly in advance

Payments are processed via Stripe or ACH
-
Subscriptions auto-renew unless cancelled with 14 days’ written notice
-
You may pause once per 6-month period with 7 days’ notice; pauses must be agreed upon in writing

Late payments may pause service until resolved

A deposit (usually 50%) is required to start

Remaining balance is due on final delivery (or milestones, if agreed)

Late payments may result in delayed delivery or paused work
16. Liability & Disclaimer
We do our best to prevent errors, but final approval is the client’s responsibility. We are not liable for costs related to printing, publishing, or distribution once you’ve approved the work.Use of our site and services is at your own risk. We do not guarantee uninterrupted service or absolute accuracy of web content.
17. Termination
We reserve the right to terminate a working relationship if the environment becomes hostile, disrespectful, or unproductive. You agree to pay for any work completed up to that point. Refunds, if applicable, are at our discretion.18. Legal
These Terms are governed by the laws of the State of New Jersey.Any disputes will be resolved in Essex County, NJ, or the U.S. District Court for the District of New Jersey.
